Acceptance of Terms
By accessing or using AdgenticHub.ai (the "Platform"), operated by Adgentic Ltd ("Adgentic", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you must not access or use the Platform.
Description of Service
Adgentic provides an AI-powered digital media intelligence platform ("Service") that enables users to diagnose, analyse, and optimise digital advertising campaigns across connected third-party platforms including Google Search, DV360, Instagram, YouTube, Amazon Ads, The Trade Desk, and TikTok.
The Service currently comprises the following agents, which may be made available in stages:
- Diagnose — a read-only scan agent that identifies performance issues, waste, and anomalies across connected platforms.
- Recommend — an advisory agent that surfaces prioritised actions based on Diagnose findings.
- Optimise — an execution agent (opt-in only) that applies approved changes to live campaigns.
- Predict — a forecasting agent that models future campaign performance using historical and live signals.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
Access & Accounts
To use the Platform, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately at [email protected] if you suspect any unauthorised access to your account. We will not be liable for any loss arising from unauthorised use of your account where you have not notified us promptly.
You may not share your account credentials with third parties or create accounts by automated means. Accounts are non-transferable.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service in any way that violates applicable laws or regulations, including advertising standards and data protection laws.
- Attempt to probe, scan, or test the vulnerability of the Platform or bypass any security measures.
- Reverse engineer, decompile, or otherwise attempt to extract the source code or underlying models of the Service.
- Use the Service to process data relating to individuals without appropriate legal basis or consent.
- Resell, sublicense, or otherwise commercialise access to the Service without our prior written consent.
- Introduce malicious code, viruses, or any other harmful software into the Platform.
- Use automated scripts to access the Service in ways that exceed normal usage patterns.
We reserve the right to suspend or terminate accounts that violate these rules without prior notice.
Data Access & Platform Permissions
The Service connects to third-party advertising platforms via OAuth 2.0 authentication. By connecting a platform, you grant Adgentic permission to access your advertising account data as described at the point of connection.
Unless you have explicitly activated Optimise mode, all platform access is strictly read-only. The Diagnose, Recommend, and Predict agents do not make any changes to your advertising accounts or campaigns.
You may revoke platform access at any time through your connected accounts settings or directly through the relevant third-party platform. Revoking access will immediately stop all data retrieval from that platform.
You represent and warrant that you have the necessary rights and permissions to connect the advertising accounts you link to the Platform, and that doing so does not violate any agreement with a third-party platform provider.
Intellectual Property
The Platform, including its underlying technology, AI models, user interface, and content produced by Adgentic (excluding your data), is owned by Adgentic and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Platform.
You retain all rights to your advertising data, campaign information, and any other data you bring to the Platform ("Customer Data"). You grant Adgentic a limited, non-exclusive licence to process Customer Data solely to provide the Service.
Insights, reports, and outputs generated by the Platform based on your Customer Data may be used by you for your own business purposes. You may not represent such outputs as independently produced without acknowledging the use of AI tools.
Fees & Payment
Access to certain features of the Platform is subject to payment of fees as described in your subscription plan. All fees are stated exclusive of any applicable taxes, which you are responsible for paying.
Subscription fees are billed in advance on a monthly or annual basis as selected. We reserve the right to change our pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Except where required by law, all fees are non-refundable. If you believe you have been charged in error, please contact [email protected] within 14 days of the charge.
Accounts with overdue payments may be suspended. We will provide reasonable notice before suspension where possible.
Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms that is identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure.
Adgentic will not share your Customer Data with third parties except as necessary to provide the Service, as required by law, or with your express consent. We will maintain appropriate technical and organisational measures to protect Customer Data against unauthorised access, loss, or disclosure.
Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Adgentic disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Adgentic does not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated insights, recommendations, and forecasts are provided for informational purposes only and should not be relied upon as the sole basis for advertising or business decisions.
We are not responsible for the accuracy or availability of data from third-party advertising platforms. Any discrepancies between Platform outputs and data in third-party platforms should be verified directly with those platforms.
Limitation of Liability
To the fullest extent permitted by applicable law, Adgentic's total cumulative liability to you for any claims arising under or related to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you in the twelve months preceding the claim, or (b) £100.
In no event will Adgentic be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
Termination
You may terminate your account at any time by contacting [email protected]. Upon termination, your access to the Service will cease and your data will be deleted in accordance with our Privacy Policy.
We may suspend or terminate your account immediately if you breach these Terms, if required by law, or if we cease to offer the Service. We will endeavour to provide reasonable notice of termination unless your conduct requires immediate action.
Sections that by their nature should survive termination (including Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, and Governing Law) shall survive termination of these Terms.
Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory local consumer protection laws require otherwise.
Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by posting a notice within the Platform at least 14 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
If you do not agree to updated Terms, you must stop using the Service and notify us to terminate your account before the changes take effect.
